Inspector Agreement

1. Parties & Relationship

This Inspector Agreement ("Agreement") is between Allwise Solutions Limited trading as Allwise Solutions ("the Company", "we", "us") and the Inspector ("you", "Inspector") who uses the ALLWISE SOLUTIONS platform to receive, manage, and deliver Healthy Homes assessment services to clients.

Independent contractor status: You are engaged as an independent contractor, not an employee, partner, or joint venturer of the Company. You are responsible for your own taxes, ACC levies, insurance, and compliance with New Zealand law. Nothing in this Agreement creates an employment relationship under the Employment Relations Act 2000.

2. Platform Services

Through the ALLWISE SOLUTIONS platform, we provide:

  • Job allocation: Access to assessment requests from landlords, property managers, and tenants in your service area.
  • Digital assessment tools including the assessment form, photo capture, heating calculator, and moisture readings recorder.
  • AI-assisted report generation powered by Gemini AI — compliance evaluation, executive summary, remediation recommendations.
  • PDF report production with professional branding, photo grids, and standards breakdowns.
  • Client management: Scheduling, communication, and compliance expiry tracking.
  • Contractor marketplace: Ability to dispatch remediation jobs to vetted contractors.

3. Your Obligations

As an Inspector using our platform, you agree to:

3.1 Qualifications & Competence

  • Hold and maintain any required qualifications, certifications, or registrations for conducting Healthy Homes assessments.
  • Maintain a current understanding of the Healthy Homes Standards and any amendments.
  • Be competent in using the required inspection equipment (moisture meter, laser measure, thermal camera if used).
  • Maintain a valid driver's licence and reliable transport.

3.2 Assessment Quality

  • Conduct all assessments thoroughly, professionally, and in accordance with the Healthy Homes Standards Regulations 2019.
  • Review and confirm all AI-generated content before it is included in client reports — you are responsible for the final report accuracy.
  • Take clear, well-lit photographs of all relevant areas, defects, and compliance items.
  • Complete assessments within agreed timeframes and upload all data promptly.
  • Notify the Company immediately if you identify a conflict of interest with a client or property.

3.3 Professional Conduct

  • Treat clients, tenants, and property with respect and courtesy at all times.
  • Arrive on time, in professional attire, with visible identification.
  • Respect tenant privacy — do not photograph personal belongings unnecessarily.
  • Comply with all health and safety requirements, including site-specific safety protocols.
  • Maintain appropriate professional indemnity and public liability insurance.

3.4 Platform Use

  • Keep your platform credentials secure and do not share access.
  • Use the platform solely for ALLWISE SOLUTIONS assessments — not for personal or competing business.
  • Upload assessment data, photos, and reports only through the platform (not via personal email or third-party services).
  • Do not solicit clients contacted through the platform for off-platform services.

4. Fees & Payment

  • Fee split: The Company retains a platform fee from each completed assessment. The Inspector receives the balance as agreed in your fee schedule.
  • Payment terms: Inspector payments are processed within 14 days of the client payment clearing.
  • GST: If you are GST-registered, you must provide a valid GST number and issue tax invoices for your services.
  • Expenses: Travel and incidental expenses are the Inspector's responsibility unless pre-approved in writing.
  • Cancelled assessments: Where a client cancels and a partial fee is retained (see Cancellation & Refund Policy), the Inspector is compensated pro-rata for work performed.

5. Intellectual Property

  • Platform IP: The ALLWISE SOLUTIONS platform, assessment tools, AI models, report templates, and branding are the Company's intellectual property.
  • Report IP: Completed assessment reports are jointly owned — the Company retains rights to the report format, template, and AI-generated content; the Inspector retains rights to their professional findings and conclusions.
  • Data: Assessment data is owned by the client. The Company and Inspector each have a licence to use anonymised data for service improvement.
  • Photos: Photos taken during assessments are stored on the platform and may be used in client reports and anonymised for quality assurance.

6. Confidentiality & Privacy

  • You must treat all client information, assessment data, and platform data as confidential.
  • Do not share client details, property information, or assessment results with any third party without written client consent.
  • Comply with the NZ Privacy Act 2020 when handling personal information.
  • Confidentiality obligations survive termination of this Agreement.

7. Non-Solicitation & Non-Compete

  • During your engagement and for 6 months after termination, you agree not to solicit any client introduced through the platform for off-platform Healthy Homes services.
  • This does not prevent you from providing other unrelated services to those clients.
  • You may provide Healthy Homes services independently to clients not introduced through our platform.

8. Insurance & Liability

  • You must maintain professional indemnity insurance (minimum $500,000 cover) and public liability insurance (minimum $1,000,000 cover).
  • Provide certificates of currency to the Company on request and upon renewal.
  • You are liable for errors, omissions, or negligence in your assessments.
  • The Company's liability is limited to the platform fees received for the relevant assessment.
  • You indemnify the Company against claims arising from your negligence, misconduct, or breach of this Agreement.

9. Termination

  • By either party: 30 days' written notice.
  • Immediate termination: By the Company for serious misconduct, fraud, breach of confidentiality, or repeated quality failures.
  • Effect of termination: You must complete all in-progress assessments or arrange handover. Outstanding fees for completed work remain payable.
  • Platform access will be revoked upon termination.

10. Disputes

Any dispute under this Agreement shall first be addressed through good-faith negotiation. If unresolved within 14 days, either party may refer the matter to mediation. This Agreement is governed by New Zealand law and subject to the exclusive jurisdiction of New Zealand courts.

11. Assignment Rights

The Company reserves the right to assign this Agreement to Allwise Solutions Limited or any subsidiary or affiliate entity without requiring your re-consent. Such assignment will not materially alter your rights or obligations under this Agreement.

12. Acceptance

By creating an Inspector account and using the ALLWISE SOLUTIONS platform, you acknowledge that you have read, understood, and agree to be bound by this Inspector Agreement.
