Terms of Service

1. Agreement to Terms

By accessing or using the ALLWISE SOLUTIONS platform (allwise.co.nz), including any related services, you agree to be bound by these Terms of Service. If you do not agree, you must not use our platform.

These Terms constitute a legally binding agreement between you ("User", "Client", "Landlord", "Property Manager", "Inspector", or "Contractor") and ALLWISE SOLUTIONS ("we", "us", "our").

2. Definitions

  • Platform: The ALLWISE SOLUTIONS web application, APIs, and associated services.
  • Assessment: A Healthy Homes compliance inspection performed by an authorised inspector.
  • Report: The compliance report generated from an assessment, including AI-generated analysis.
  • Client: Any person or entity using the platform to request, receive, or manage assessments.
  • Inspector: An authorised user who performs Healthy Homes assessments.
  • Contractor: A tradesperson registered on the platform to receive remediation work.

3. Account Responsibilities

  • You must provide accurate and complete information when creating an account.
  • You are responsible for maintaining the confidentiality of your login credentials.
  • You are responsible for all activity that occurs under your account.
  • You must notify us immediately of any unauthorised use of your account.
  • We reserve the right to suspend or terminate accounts that violate these Terms.

4. Services

ALLWISE SOLUTIONS provides:

  • Healthy Homes compliance assessment tools and reporting.
  • AI-powered compliance evaluation and remediation recommendations.
  • A marketplace connecting clients with inspectors and contractors.
  • A client portal for accessing reports and compliance status.
  • A contractor portal for receiving and managing remediation jobs.

We do not perform the physical inspections ourselves unless directly engaged. Inspectors using our platform are independent professionals responsible for their own work quality and insurance.

5. Fees & Payment

  • Fees for assessments and platform services are as quoted at the time of booking.
  • Payment is due as specified in the Service Agreement or invoice.
  • All prices are in New Zealand Dollars (NZD) and exclude GST unless stated otherwise.
  • We reserve the right to change pricing with 30 days' notice. Existing bookings are honoured at the quoted price.

6. Cancellation & Refunds

Refer to our Cancellation & Refund Policy for full details. In summary:

  • Cancellations with more than 48 hours' notice: full refund or reschedule.
  • Cancellations within 24-48 hours: 50% refund or reschedule.
  • Cancellations within 24 hours or no-show: no refund.
  • Weather or safety-related cancellations by the inspector: free reschedule.

7. Intellectual Property

  • The ALLWISE SOLUTIONS platform, brand, software, and AI models are our exclusive intellectual property.
  • Assessment reports generated by the platform are licensed to the client for the specific property assessed.
  • You may not reproduce, distribute, or resell platform-generated reports without our written consent, except as required for tenancy compliance purposes.
  • Anonymised assessment data may be used to improve our AI models and services.

8. Limitation of Liability

To the fullest extent permitted by New Zealand law:

  • Our platform and reports are provided "as is" without warranty of any kind.
  • AI-generated compliance evaluations are recommendations only and must be reviewed by a qualified inspector.
  • We are not liable for any indirect, consequential, or special damages arising from use of our platform.
  • Our total liability for any claim is limited to the fees paid by you for the specific service giving rise to the claim.
  • Nothing in these Terms excludes liability that cannot be excluded under the Consumer Guarantees Act 1993 or Fair Trading Act 1986.

9. Acceptable Use

You agree not to:

  • Use the platform for any unlawful purpose or in violation of any NZ law.
  • Upload false, misleading, or fraudulent information.
  • Attempt to gain unauthorised access to other users' accounts or data.
  • Interfere with the platform's operation through automated means, malware, or denial-of-service attacks.
  • Reverse-engineer, decompile, or extract our AI models or algorithms.
  • Use the platform to harass, abuse, or discriminate against any person.

10. Termination

We may suspend or terminate your access to the platform at any time, with or without cause, including for violation of these Terms. Upon termination, your right to use the platform ceases immediately. You may request a copy of your data within 30 days of termination. We retain assessment data as required by NZ tenancy law.

11. Governing Law

These Terms are governed by the laws of New Zealand. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the New Zealand courts.

12. Changes to Terms

We may modify these Terms at any time. Material changes will be notified via email or platform notice. Continued use after changes constitutes acceptance of the revised Terms.
